These Terms set out the rights, obligations and responsibilities between AcquiLAB Inc. (주식회사 아퀼랩, "we") and members who use the AcquiLAB service.
1. Purpose
These Terms govern the use of the services we provide at acquilab.io and app.acquilab.io, including scientific data analysis, graphs and figures, simulation, Bayesian optimization and the AI Assistant (the "Service").
2. Definitions
"Member" means a person who has agreed to these Terms and created an account.
"Workspace" means a space where a member keeps projects and data and works with members they invite.
"Content" means files, data, analysis results, campaigns, figures, documents, conversations and other material a member uploads or creates in the Service.
"Credits" are in-service units used to pay for usage-based features such as the AI Assistant.
"Paid Services" means subscription plans, credit purchases and other services you pay for.
3. Publishing and changing these Terms
We publish these Terms on a page linked from the Service's home page.
We may change these Terms within the limits of the law. We announce changes, with the date they apply and the reason, at least 7 days in advance; changes that are unfavourable to members or material are announced at least 30 days in advance and also emailed to you.
If you do not agree to a change, you may close your account before it applies. Continuing to use the Service after that date means you accept the change. Price increases for Paid Services need your separate consent under section 12.
4. Accounts
You must be 16 or older to create an account or use the Service.
Give accurate information when you sign up and keep it up to date in Settings.
You are responsible for your password, passkeys and two-step verification methods. You may not transfer or lend your account. Tell us at once if you learn that your account has been used without permission.
We may refuse, or later cancel, a sign-up that uses someone else's details or false information, or that comes from a person previously restricted for breaching these Terms.
5. The Service and changes to it
We provide scientific data upload and analysis, Plot Studio and Figure Studio, simulation, single- and multi-objective Bayesian optimization, the AI Assistant, documents (Office), literature search and related features. What you can use depends on your plan.
Features marked "experimental" or "beta" are still being validated, and their results or behaviour may change.
We may change all or part of the Service for operational or technical reasons. If we change a Paid Service to your disadvantage, we tell you 30 days in advance and you may ask for a refund under section 13.
6. Interruptions
We may interrupt the Service temporarily for maintenance, replacement, failures, network outages, natural disasters or similar unavoidable reasons. Planned maintenance is announced in advance; emergencies are announced afterwards.
If we end the Service, we tell you 30 days in advance and give you time to download your Content. Unused paid credits and the remaining subscription period are refunded.
7. AI features
The AI Assistant uses an external generative AI model (currently OpenAI's or Anthropic's). Assistant answers, and documents the Assistant writes, are labelled as AI-generated.
AI-generated content can be wrong or incomplete. Check it yourself before using it in research, experiments or publications. Numerical analysis and optimization results are computed by the Service's analysis engines, not by the AI; the Assistant cites stored results.
When you use the Assistant, your question and the project information it needs are sent to the model provider, as described in the Privacy Policy. We do not train AI models on your Content.
8. Scientific results
Analysis results, simulations and optimization suggestions support research decisions. They do not replace experimental validation, safety controls, professional judgement or regulatory review. Verify results independently before relying on them for important decisions.
9. Your Content
You (or the rightful owner) keep the rights to your Content. We store, process and transmit it only as needed to provide and secure the Service, and we do not use it for advertising or to train AI models.
If you share a workspace, its members can see its Content according to their role (owner, editor, viewer).
Upload only Content you own or are allowed to use. If your data contains personal or sensitive information, you need a lawful basis for it.
You can download your data at any time under Settings → Your data.
10. Prohibited conduct
You must not:
use another person's account or details, or try to reach workspaces or data you are not authorised to access;
bypass security measures, exploit vulnerabilities, or disrupt the Service with excessive automated requests;
upload Content that infringes copyright, trade secrets or other rights;
upload or send malware or information the law prohibits;
reverse-engineer, copy or resell the Service without permission;
use the Service to harm human life or safety, for example to develop weapons or illegal drugs.
If we confirm prohibited conduct, we may restrict your use or suspend your account after notice (or with notice afterwards in urgent cases). You may object.
11. Copyright complaints
If you believe Content in the Service infringes your copyright or other rights, you may ask us to stop its reproduction and transmission under Article 103 of the Korean Copyright Act.
Send the request to support@acquilab.io with your name and contact details, the work you say is infringed, information identifying the infringing Content, and evidence that you hold the rights. We then stop reproduction and transmission of that Content and tell the member who posted it, who may ask us to restore it by showing they have the right to use it.
12. Paid Services, credits and automatic renewal
Plans, prices and included credits are shown on the pricing page and at checkout. The amount shown at checkout, including any applicable tax, is the final amount.
Subscriptions renew automatically at the same price for the period you chose (monthly or yearly) until you cancel. You can cancel at any time under Billing; you keep access until the end of the period you have paid for, and you are not charged again. Cancelling is never harder than subscribing.
If we raise a subscription price or turn a free offer into a paid one, we email you at least 30 days before it applies and ask for your consent. If you do not consent, your subscription is not renewed at the new price and ends at the end of the current period.
Credits have no cash value and cannot be transferred to another account or exchanged for money. They do not expire while your account exists, but they lapse when your account is deleted (except credits refundable under section 13). Credits given for free, such as promotions, are not refundable.
Payments are processed by payment providers (Paddle.com Market Limited for international payments and Toss Payments Co., Ltd. for payments in Korea). We never store card numbers. For payments through Paddle, Paddle is the merchant of record: it collects the payment and issues the receipt.
13. Withdrawal and refunds
Under the Korean Act on Consumer Protection in Electronic Commerce, you may withdraw from a purchase within 7 days of paying (or of the Paid Service becoming available to you).
Subscriptions: within 7 days, if you have not used the credits included in that period, you get a full refund; if you used some, we refund the amount minus the value of the credits used.
Credit purchases: within 7 days, unused credits are refunded in full; if you used some, the unused credits are refunded.
If a Paid Service differs from how it was described or advertised, or from the contract, you may withdraw within 3 months of it becoming available and within 30 days of learning of the difference.
If you cancel a subscription after the withdrawal period, the remaining period is not refunded and you keep access until it ends. If you cannot use the Service because of our fault, we refund the part you could not use.
Ask for a refund at support@acquilab.io or through the payment provider's receipt. We refund (or cancel the payment) to your payment method within 3 business days of confirming the withdrawal.
14. Ending the contract and deleting your account
You can ask to delete your account at any time under Settings → Your data. You are signed out everywhere, and for 30 days you can sign in again to cancel. After that, your personal data and the workspaces you own are erased; Content in workspaces shared with other members stays in those workspaces.
If you are the only owner of a workspace other members use, make another member an owner first.
If you seriously breach these Terms, we may ask you to fix it within a reasonable period and end the contract if you do not.
15. Liability
If we or you breach these Terms and cause the other loss, the party in breach compensates it.
We are not liable for loss caused by natural disasters, by your own fault, or by outages of third-party services outside our control. This does not limit our liability for loss we cause intentionally or through gross negligence.
For services provided free of charge, we are not liable to the extent the law allows, except in cases of our intent or gross negligence.
16. Notices
We notify you by the email address in your account or in the Service. Notices to all members may be posted in the Service for at least 7 days instead.
17. Governing law and disputes
These Terms and your use of the Service are governed by the laws of the Republic of Korea.
We and you will first try to resolve any dispute in good faith. If that fails, either may bring a claim before the court with jurisdiction under the Korean Civil Procedure Act. You may also apply for mediation, for example to the Korea Consumer Agency. This does not take away any protection given to you by the mandatory law of the country where you live.
